Terms of service

Last updated: October 6, 2026

  1. 1. Acceptance

These terms govern the use of BillingSoft by the organizations that subscribe to it and by the users those organizations give access to. By using the service you accept them on your own behalf and, if you act for an organization, on its behalf.

  2. 2. The service

BillingSoft generates, digitally signs, submits to the DGII and retains the electronic tax documents (e-CF) the customer issues, from the application or through its API, and reports the status of each one.

The service does not replace the customer's tax obligations. The customer remains the issuer of its documents and is responsible for their content before the DGII.

  3. 3. Accounts and access

Organizations are onboarded through a process agreed with BillingSoft; there is no public sign-up. Each organization decides which users have access and with which permissions.

Each user must protect their credentials and tell us immediately about any unauthorized use. We may suspend access to protect the service or the organization.

  4. 4. Customer obligations

To provide truthful and complete data in its documents; to keep its digital certificate, its authorized sequences and the authorizations the DGII requires current; and to use the service lawfully.

  5. 5. Digital certificate and signing

When the customer entrusts us with its digital certificate, we keep it encrypted and use it only to sign the documents the customer issues through the service. Every signature is logged, and the customer can review that log.

  6. 6. Availability and contingency

We work to keep the service continuously available, with the availability commitments agreed with each customer. Outages of the DGII's services are beyond our control; during them, the service follows the contingency procedures the regulations provide for.

  7. 7. Pricing and payment

Prices and payment terms are those of the proposal the customer accepted. Non-payment may lead to suspension of the service, after notice.

  8. 8. Data and confidentiality

The customer's data and documents belong to the customer. We treat them confidentially and under our privacy policy, and retain them for the periods the law requires.

  9. 9. Intellectual property

BillingSoft and its software are our property. The customer receives a non-exclusive, non-transferable right of use for the duration of the relationship.

  10. 10. Liability

To the extent the law allows, our total liability to the customer is limited to the amount paid for the service in the twelve months before the event giving rise to it, and excludes indirect damages and lost profits. Nothing in these terms limits liability that the law does not allow to be limited.

  11. 11. Suspension and termination

Either party may end the relationship as agreed. On termination, the customer may request a copy of its documents; we will keep retaining them for the legal period, and they cannot be deleted before then.

  12. 12. Governing law

These terms are governed by the laws of the Dominican Republic. Any dispute will be submitted to the competent courts of Santo Domingo, Distrito Nacional.

  13. 13. Changes

We may update these terms. We will publish the new version here, with its date, and give customers reasonable advance notice of significant changes.
